Vendor Agreement

Between The Tinker Foundation and Approved Vendor

This Vendor Agreement ("Agreement") is entered into as of the date of acceptance by the Vendor, between The Tinker Foundation ("Tinker"), and the Vendor ("Vendor"), an independent business applying to participate in Tinker’s retail and online marketplace.

1. Purpose

This Agreement outlines the terms under which the Vendor may sell products through Tinker’s marketplace powered by Shopify’s Multi Vendor Marketplace (MVM). Participation is not guaranteed and is subject to approval by the vendor operations team. Tinker prioritizes artisan vendors who create original, high-quality products. Tinker reserves the right to wholesale products independently and does not rely on vendors for wholesale fulfillment.

2. Vendor Requirements

Vendors must:

  • Discuss all products and inventory amounts with the vendor operations team before listing.

  • Be responsible for their own inventory, fulfillment, and customer service.

  • Ensure all products meet quality standards and comply with applicable laws.

  • Follow Tinker’s policies on returns, refunds, and customer experience.

  • Maintain accurate product descriptions and branding.

  • Participate in promotions and marketing as agreed.

3. Tinker’s Responsibilities

Tinker will:

  • Offer an opportunity to sell in Tinker’s marketplace, subject to approval.

  • Provide marketing support at its discretion.

  • Facilitate secure payment processing through Shopify MVM.

  • Maintain marketplace standards to ensure a high-quality customer experience.

Tinker may remove vendors or products that do not meet expectations.

4. Retail Space

  • Space is not guaranteed and is assigned at Tinker’s discretion.

  • Vendors do not receive automatic placement—products are curated by the vendor operations team.

  • Vendors must keep inventory stocked based on approved amounts.

5. Payments & Commission

  • Payouts follow Tinker’s scheduled disbursement process via Shopify.

  • Any commission or transaction fees will be detailed separately.

  • Vendors cover all costs related to their products.

6. Marketing

  • Tinker will promote selected vendors through various channels.

  • Vendors allow Tinker to feature their products in marketing.

  • Any approval process for shared content must be efficient.

7. Term & Termination

  • This Agreement is valid for one (1) year, unless terminated with 30 days’ notice.

  • Tinker may immediately remove vendors who do not comply.

8. Liability

  • Vendors are fully responsible for their products, compliance, and customer interactions.

  • Tinker is not liable for vendor-related disputes.

  • Vendors must adhere to all applicable laws.

9. Acknowledgment

By submitting a vendor application, the Vendor agrees to these terms.
